General power of attorney (pełnomocnictwo ogólne) covers the authorisation to:

• perform acts of ordinary management

• perform acts exceeding the scope of ordinary activities

• perform all acts

A power of attorney (pełnomocnictwo) can be revoked:

• at any time

• at any time, unless the principal has waived the right to revoke the power of attorney for reasons justified by the nature of the legal relationship underlying the power of attorney

• only in situations specified by law

Upon the death of the principal or the agent (pełnomocnik), the power of attorney (pełnomocnictwo):

• expires

• does not expire

• expires unless otherwise specified in the power of attorney due to reasons justified by the nature of the legal relationship underlying the power of attorney

If Jan K. entered into a sales contract for a valuable painting without authorisation on behalf of Dariusz W., the contract:

• is valid

• is absolutely invalid

• the validity of the contract depends on its confirmation by Dariusz W.

A unilateral legal act carried out in another's name without authorisation or beyond the scope of the authorisation is:

• valid

• invalid, without possibility of changing that state of affairs

• invalid; however, if the person to whom the declaration of intent was made in another's name agrees to act without authorisation, the provisions on concluding a contract without authorisation apply accordingly

The agent (pełnomocnik):

• may be the other party to the legal act he/she performs on behalf of the principal

• may not be the other party to the legal act he/she performs on behalf of the principal

• may not be the other party to the legal act he/she performs on behalf of the principal unless otherwise stated in the content power of attorney or due to the nature of the legal act there is no possibility of violating the interests of the principal

A proxy (prokurent) is authorised to:

• the sale and encumbrance of the business

• the contribution of the entire business as a contribution to a newly established company

• the performance of all judicial and extrajudicial acts

A proxy (prokurent) is not authorised to:

• sell the company's real estate

• acquire real estate for the company

• represent the company before the commercial court in a payment case

The appointment of a representative by the proxy (prokurent) is:

• impossible

• possible, but only for a specific act

• possible for both a specific act and certain types of acts

A commercial power of attorney (prokura) can be revoked:

• at any time

• only in situations specified by law

• only in situations specified at the time of its granting
